Verification Report - Friendly or Hostile Acquisition
An independent verification report (as part of the due diligence process) on the assumptions and projections underpinning the client’s proposed acquisition. The verification report can focus upon client assumptions about industrial synergies, brand values, product and technology life cycles, valuation of R&D and IP, market trends and attractiveness and the future expansion potential that will be possible after the acquisition.
In the report we identify client assumptions about the key desirable outcomes of the acquisition process. We review these assumptions against available information about the acquisition, industry practices and market performance benchmarks. Our analysis will identify any gap between key assumptions and our assembled evidence base and will quantify and qualify the resulting risk to the client.
Verification Report - Defence to Hostile Acquisition
An independent verification report on behalf of a company that is the subject of a hostile acquisition. This report (similar in format and intent to a Sales Mandate report) will assess the target company’s assets and performance in relation to its marketplace and support a valuation for the company that maximizes the benefit to shareholders of accepting, or defending, the acquisition.
In the report we will review current company performance and assets against market, financial, technological, and operational norms for the industry and provide an authoritative view on the company’s potential value as an acquisition target with the evidence to support any claims that it should be sold at a premium to the standard industrial/ financial multipliers.
Each report will be delivered within 10 days of receiving the relevant company documents and data. In cases of great urgency, reports can be delivered within five days.
